DIVISIONS OF SUBSIDIARY OF TALLINNA KAUBAMAJA (KIA AUTO AS)

TALLINN, 16.05.2013, www.nasdaqomxbaltic.com - Tallinna Kaubamaja AS published the Stock Exchange announcement on 27 March 2013, which stated that with the intention of improving the structure and making the administration of the group more transparent, divisions of its subsidiary KIA Auto AS shall take place.

Tallinna Kaubamaja AS published the Stock Exchange announcement on 27 March 2013, which stated that with the intention of improving the structure and making the administration of the group more transparent, divisions of its subsidiary KIA Auto AS shall take place. According to the above mentioned Stock Exchange announcement, the cars sales activity of the group in Estonia shall be focused to AS Viking Motors; and the shareholdings of KIA Auto AS in Latvian subsidiary SIA KIA Automobiles and Lithuanian subsidiary UAB KIA Auto shall be transferred directly to TKM Auto OÜ.

On 16 May 2013 the Commercial Register registered the divisions of KIA Auto AS. According to the division agreement signed on 27 March 2013 KIA Auto AS transferred by division the share of OÜ Ülemiste Autokeskus to the recipient company, AS Viking Motors. According to the division plan signed on 27 March 2013 KIA Auto AS transferred by division the shares of SIA KIA Automobiles and UAB KIA Auto to the recipient company, OÜ Opti Auto. OÜ Opti Auto was entered to the Commercial register also on 16 May 2013. OÜ Opti Auto is a 100% subsidiary of OÜ TKM Auto, which in turn is a 100% subsidiary of Tallinna Kaubamaja AS. The division resolutions were adopted on 5 April 2013. The share capital of the company being divided does not change.
